TERMS OF SERVICE

Please READ carefully, as terms apply to accessing The Models University program and the Runway Bundle. By purchasing access to either The Models University or the Runway Bundle, educational program for newer models who desire to receive help in their modeling journey (the “Program”), that is provided by That’s Brickell, LLC (the “Company”), You (“You” or the “Client”), agree you are voluntarily entering into a legally binding Agreement with That’s Brickell, LLC, inclusive of the following terms and conditions mutually agreed upon: Program Terms: The Models University

Client agrees and understands that he/she is purchasing access to The Models University, an 8- week high-level mastermind and model coaching program online. One of the most comprehensive online education programs designed to walk you through step by step how to get unstuck and learn how to book modeling gigs with a custom strategy without spending endless money and not getting paid. Whereby, your instructor will be Model Coach Brickell French, Managing Members of That’s Brickell LLC, a Virginia business located at 3540 Pump Rd #1077 Richmond, VA 23233. The Program encompasses a series of video lessons, assignments, and other resources within The Models University Online Library accessible to the client with granted access. 

The Client will have access to The Models University program, including all training materials and resources provided at the time of the commencement of this Agreement, as well as updated materials for one year from purchase. That’s Brickell LLC reserves the right to suspend this access immediately in the event that a payment has not been received under the terms of this Agreement.

Client acknowledges that he/she has read the Program Outline and conducted any additional research necessary to feel he/she understands what is being provided in The Models University as well as what is not included. Client agrees to be bound by the terms and conditions outlined herein, as well as the general policies and procedures that can be found in this Agreement and on The Models University’s website.

The Client shall not replicate, distribute, share, sell, duplicate, exploit or copy any content supplied or provided in the Program by That’s Brickell LLC, electronically or otherwise, nor shall the Client replicate, sell or copy any property belonging to That’s Brickell LLC and The Models University including, but not limited to, website, copy, or design. The Models University Curriculum is provided to the Client for the Client’s individual use only.  

During the 8-week Program, the client will have access to group coaching calls. If the Client is unable to attend a group coaching call, the Client can watch the recording which will be available within 24 hours after the group coaching call. Due to the nature of these group coaching calls, if the Client is unable to attend the call, group coaching calls cannot be rescheduled. The same applies for the Optional Q&A calls. If there is no attendance, then no recording will be provided.

That’s Brickell LLC offers services to guide, support and coach the Client and endeavors to provide an excellent service. The Client is aware that the acceptance of such services does not guarantee desired results and That’s Brickell LLC is not liable for any loss to the Client including money, time, resources, or anything of the like.

Program Terms:

The Runway Bundle

Client agrees and understands that he/she is purchasing access to The Runway Bundle, an exclusive express runway course online that has been curated by Model Coach Brickell French of That’s Brickell LLC and The Models University. The Runway Bundle is designed to walk you through beginner, intermediate, and advanced runway skills and techniques for masculine and feminine walks. The Runway Bundle encompasses a series of video lessons within an online library accessible to the client with granted access. The Runway Bundle is a self-paced online course. The username and password used to access the portal should not shared to others for access. 

The Client shall not replicate, distribute, share, sell, duplicate, exploit or copy any content supplied or provided in the Program by That’s Brickell LLC, electronically or otherwise, nor shall the Client replicate, sell or copy any property belonging to That’s Brickell LLC and The Models University including, but not limited to, website, copy, or design. The Runway Bundle Curriculum is provided to the Client for the Client’s individual use only. The Client is aware that the acceptance of such services does not guarantee desired results and That’s Brickell LLC is not liable for any loss to the Client including money, time, resources, or anything of the like.

Additional Third-Party Resources: That’s Brickell LLC and The Models University program offers recommendations for services it does not provide as help to the client in their modeling journey. That’s Brickell LLC is not in control of what perks, services, and benefits they are offering and charging at the time of contact. The third-party companies are separate entities and not otherwise affiliated with That’s Brickell LLC. Non-Disclosure:

Client understands that one of the primary elements in purchasing the Program is the benefit of obtaining expert guidance, teachings, materials, and exercises. Following Client’s participation in this Program, Client will have gained access to various trade secrets and personal intellectual property of the Company, including but not limited to materials such as verbal advice, mindset guidance, written templates, modules, technical information, career advice, and/or other information that may have become available for use through Client’s participation in the Program. Client understands and acknowledges that this information is not to be openly shared with others who have not participated in the Program, without permission from That’s Brickell LLC.

Client agrees not to share, copy, or distribute any documents or other proprietary information obtained through the Program, and agrees that he or she will be in violation of these Terms of Use if he or she uses any of the Content outlined as his/her own material, or repurposes and uses the Content in his/her own business as a product or service being offered for sale, without express written permission of That’s Brickell LLC. Client also understands and agrees he/she will not disclose or use any information provided to Client as part of their membership in the Program, other than for personal use in his/her own modeling career, without prior written permission from That’s Brickell LLC.

Confidentiality:

That’s Brickell LLC and The Models University understands and appreciates confidentiality. During the Program, the Company will not disclose orally or electronically any confidential, or proprietary information about the Client.

Client also agrees to not disclose orally or electronically any confidential or proprietary information about the The Models University program or That’s Brickell LLC. Client will not use any confidential information for any other purpose than the Program.

 

Client agrees and understands that during group coaching calls via Zoom, they may need to disclose certain information to receive guidance and support, and that Zoom meetings are recorded for Client’s benefit. Client will not be forced to disclose any confidential information during group coaching calls and should use their own discretion.

Testimonials:

That’s Brickell LLC loves to share our client wins and successes from inside our programs. By signing up for the Program, you grant That’s Brickell LLC, its employees, mentors, agents, representatives and/or consultants in relationship to That’s Brickell LLC, permission to use any testimonials in our marketing materials and/or any promotional efforts. This includes but is not limited to unofficial testimonials, words of praise via Instagram stories, public posts or posts inside our groups, and direct messages. We will blur full names on screenshots used, and you understand that all confidentiality provisions apply and that testimonials are the only exception to our confidentiality obligations.

Payment Terms: The Models University

The Client agrees to be financially willing and able to invest in the Program by choice, and that by doing so, the Client is not incurring any economic hardship in any way. Client understands the cost of the Program is payable in full, or via a payment plan option for the level of service and access selected. If a plan is selected that offers an amount down, it is understood by the client that it must be paid before accessing the program. The Client agrees to pay the following fees for the level of service selected:

The Main Experience – (Pay In Full option): - A one-time payment of two thousand five hundred U.S. dollars ($2,500) payable up front, in full; or The Main Experience – (Quick Pay): Initial payment of $500 and eight (10) weekly payments of two hundred and fifty U.S. dollars ($250) payable over the 8 weeks of the program and the 2 weeks following, totaling $3,000 if this payment plan option is selected; or

The Main Experience - (Pay Plan 1): Seven (7) monthly payments of ($500) five hundred U.S. dollars, totaling $3,500 if this payment plan option is selected; orThe Main Experience - (Pay Plan 2): Initial payment of ($500) five hundred U.S. dollars and ten (10) monthly payments of three hundred and fifty U.S. dollars ($350), totaling $4,000 if this payment plan option is selected

OR

TMU One Day Touch – (Pay In Full option): - A one-time payment of one thousand five hundred U.S. dollars ($1,500) payable up front, in full; or TMU One Day Touch – (Quick Pay): Six (6) weekly payments of two hundred and fifty U.S. dollars ($250) payable over the 6 weeks during the program, totaling $2,000 if this payment plan option is selected; or

TMU One Day Touch - (Pay Plan 1): Five (5) payments of five hundred U.S. dollars ($500) payable over (5) months, totaling $2,500 if this payment plan option is selected; or TMU One Day Touch - (Pay Plan 2): Initial payment of $500 and eight (8) monthly payments of two hundred fifty U.S. dollars ($250) payable over (8) months, totaling $2,500 if this payment plan option is selected 

OR

TMU The Freestyle – (Pay In Full option): - A one-time payment of eight hundred U.S. dollars ($800) payable up front, in full; or TMU The Freestyle – (Quick Pay): Five (5) weekly payments of two hundred U.S. dollars ($200) payable over the first 5 weeks of the program, totaling $1,000 if this payment plan option is selected; or

TMU The Freestyle - (Pay Plan): Three (3) payments of four hundred U.S. dollars ($400) payable over three (3) months, totaling $1,200, if this payment plan option is selected; or

If paying by debit card or credit card, Client gives the Company permission to automatically charge credit or debit card for all fees and charges due and payable to the Company. The Client will receive an electronic receipt upon payment. The Client is deemed to be aware of these payment terms and agrees to honor them in their entirety.

Client also agrees that the Company is authorized to share any payment information and instructions required to complete the payment transactions with its third-party payment service providers (e.g., credit card transaction processing, merchant settlement, and related services).

If Client elects to purchase the Program via the offered payment plan, Client agrees to abide by the rules and payments as explained on the Program’s sales page and within this Agreement. Client understands and agrees that following the first payment, subsequent payments will be automatically deducted each month, utilizing the same mode of payment that was used to make the initial payment, until the payment plan has been completed.

If the payment is not received by the due date or if there is a problem with the payment transaction or method, the Client will be notified by e-mail and then will have a 3-day grace period to make the payment following the due date, otherwise the Program will be put on hold. If no payment is made within the 3-day grace period, the Program will automatically terminate, and the Client will no longer be granted access. After three failed payments, Client understands the Company may contract a collection agency to collect the money from you. Client’s decision to cease use of the Program for any reason does not eliminate Client’s responsibility to complete the payment plan as agreed upon. Payment in full is required regardless of use, happiness with product, or results.

Payment Terms: The Runway Bundle

The Client agrees to be financially willing and able to invest in the Program by choice, and that by doing so, the Client is not incurring any economic hardship in any way. Client understands the cost of the Program is payable in full and the Client agrees to pay the following fees:

A one-time payment of three hundred U.S. dollars ($300) plus tax payable up front, in full. No refund, exchanges, IOU’s, etc, are allowed. Unless on sale for a one-time payment of ninety seven U.S. dollars ($97). If paying by debit card or credit card, Client gives the Company permission to automatically charge credit or debit card for all fees and charges due and payable to the Company. The Client will receive an electronic receipt upon payment. The Client is deemed to be aware of these payment terms and agrees to honor them in their entirety.

Client also agrees that the Company is authorized to share any payment information and instructions required to complete the payment transactions with its third-party payment service providers (e.g., credit card transaction processing, merchant settlement, and related services).

Notice: Client agrees to receive text messages and emails from That’s Brickell LLC. Proper Notice to That’s Brickell LLC shall be as follows:

If email, phone or billing information changes during the time of program, Client has responsibility to inform That’s Brickell within 48 hours of said change by emailing [email protected].

Refund Policy: 

It is That’s Brickell’s intention for the Client to be happy with the Program. Subject to the Client’s active participation, the Company is confident that if the Client devotes time and efforts to the Program, the Client shall acquire knowledge and practical experience for career development. However, because That’s Brickell has invested considerable time and effort in the program, if the Client decides to withdraw at any time, for any reason, the Client is still fully responsible for making all the payments associated with the program, and no refunds will be provided. That’s Brickell reserves the right to take legal action where applicable until all of the funds have been received in full, and enforce payments through a Court of Law until all of the funds have been received in full by That’s Brickell. Client will be liable for all costs in pursuit of the full payment including court costs and attorney’s fees.

Termination: 

Should That’s Brickell choose to terminate this Agreement at any time, the Company will provide the Client with 72 hours written notice via email. Any outstanding payments for services that already have been provided to date are immediately due and payable. No refunds will be provided.

Should the Client choose to terminate the Agreement at any time, the Client is to: (1) provide That’s Brickell with 72 hours written notice via email, (2) remain financially responsible for the full cost of the Program, (3) immediately make any payments that are due, and (4) no refunds will be provided. All the terms of this Agreement will still apply even after termination by either party.  

Non-Disparagement:

Should the Client become dissatisfied with any portion of the Program, the Client agrees that during and after the Program is completed, Client will not publicly or privately make, speak and/or publish on social media platforms or other forums any ill, negative or disparaging comments about That’s Brickell or The Models University, its employees, mentors, agents, representatives and/or consultants in relationship to That's Brickell.

Client acknowledges and agrees that monetary damages might not be a sufficient remedy for a breach of this clause. Therefore, in addition to all remedies available at law, That's Brickell is entitled to seek injunctive and any other equitable relief as remedy for any such breach. That's Brickell shall be reimbursed for its costs and expenses including attorney’s fees and court costs.

Guarantees: That's Brickell has the upmost confidence in assisting the Client to reach their modeling goal and plans to ensure complete client satisfaction throughout the following 8 weeks. The Models University is backed by a better results guarantee. If you follow my process, do 100% of the actions, and attend 90% of the calls and don’t see any improvements in your modeling journey then we will continue to work with you for an additional 6 months. 

That's Brickell endeavors to provide all the resources and knowledge necessary to equip the Client during their modeling journey process. But, That's Brickell does not guarantee that the Client will book paying gigs during or after the Program. That’s Brickell does not facilitate opportunities for you. That's Brickell believes that the Client is in control of the Client’s modeling career and that the Client’s success is determined by the amount of effort the Client is willing to put into the Client’s search strategy and implementation. That’s Brickell has an “all sales are final” policy but that is because our service is so exclusive and so powerful that once used it cannot be unused. This works so well and is so easy to copy we must make all sales final.

Entire Agreement, Assignment, Survivability, and Waiver:

This Agreement contains our entire agreement. That's Brickell will have the majority authority towards any amendments to the Agreement and/or the Program. The Client may not assign rights or obligations under this Agreement to anyone else, and the obligations under this Agreement shall survive indefinitely unless otherwise stated in this Agreement. If That's Brickell chooses to waive or not enforce one or more terms of this Agreement, it does not in any way limit the Company’s right to later enforce every part of this Agreement.

Multimedia Waiver: During the course of The Program, photographs, audio, and video may be taken and edited which may or may not include You. You agree to allow the use of these to “That’s Brickell LLC” and its representatives to be used in marketing content online and/or offline. Amendments:

This Agreement may be amended and/or updated by the Company from time to time as needed, without notice, to reflect the growth and updates to Program and services offered. By purchasing the Program, you are agreeing to be bound by these Terms and Conditions of Use.

Governing Law and Jurisdiction:

Company and Client will resolve any issues regarding the Program and/or this Agreement amicably through e-mail correspondence. In the event Client and Company are unable to seek resolution in 14 days, both parties agree the only method of legal dispute resolution is binding arbitration before a single arbitrator, jointly selected by both parties, unless both parties agree otherwise in writing.Should a dispute arise between That's Brickell and Client, the parties agree to attempt to resolve by good-faith negotiations and discussions. (Client agrees that failure to see results is not a basis for a “dispute” and agrees he or she does not hold That's Brickell responsible for any specific results, or those results which have been achieved by other clients of the Company.)Arbitration will be conducted consistent with the rules, regulations, and requirements imposed by Virginia law. Client agrees and understands that the max remedy to be rewarded through arbitration is the full refund of Payment made to date. No other actions or financial awards of consequential damages, or any other type of damages may be granted to the Client. In the event Client brings forth a frivolous claim against That's Brickell, Client will be held liable for all applicable costs, including court fees and attorney’s fees.

This agreement shall be governed by the laws of the State of Virginia. Any claims that may arise out of, pertain to or relate to this Agreement shall lie in the Superior Court of Henrico, Virginia.

Severability:

The invalidity or unenforceability of any provision of the Agreement shall not affect the validity or enforceability of any other provision. If any provision of this Agreement is held by a court of law to be invalid or unenforceable, (a) that provision shall be deemed amended to achieve as nearly as possible the same economic effect as the original provision, and (b) the legality, validity and enforceability of the remaining provisions of this Agreement shall not be affected or impaired thereby.

Integration:

All terms are to be agreed to during this duration of the Program and relationship with That's Brickell. All negotiations, and/or informal meetings relating to this Agreement are void, all terms must follow the contents in this Agreement.

PROGRAM OUTLINE ADDENDUM – The Models University Client understands, acknowledges, and agrees he/she is purchasing access to The Models University by That's Brickell. Once the Program is purchased and all Agreements are agreed to, Client will begin receiving the core content modules. One module will be released each week over the course of the Program, until Client has received all core and bonus modules. After which, Client is to have continued access for one year, and may review or complete at his/her own pace. As outlined on the sales page, the Program includes the following 6 core modules:

Model Mentality: Hitting the runway and getting in front of photographers is not the first step to getting to your modeling goals. In this module, you’ll understand the MPRC Method and identify and clear out the limiting mind to fill it with a more clear, positive mind that is ready to receive the change ahead. 

Determine Your Profit Path: Just taking any gig that comes your way isn’t going to get you to your goals. Getting clear on your goals and building a strategy that helps you package yourself in a compelling way that works for you and your journey is what this section is about.

‘Tog Hunt: You’ll discover how to conduct business with a photographer to confidently navigate the relationship and have success in your shoot.

Pimpin’ Ain’t Easy But Posing Should Be: From clueless and awkward to confident and delivering free flowing poses that command! You'll learn to master the balance between showcasing both your personality and your skills.

Pause, Prep, and Practice: Let’s be honest, runway is exciting, especially if you’re prepared. And, the way to get prepared is to practice. This section drives home practicing the CORRECT way to build proper muscle memory. You’ll learn exactly how to keep the good of your walk and throw out the bad. Implementing proper skill, technique, and runway strategy. Confidence By Action: This is where we put it all into play. No more goals on a board. You will put things into motion to bring your goal to life. Full steam ahead! 

Modules: That's Brickell will make available six (6) core modules, released to Client weekly, over the course of six (6) weeks. Although designed to complete in order, weekly, Client may go at his or her own pace, and work through the modules as he or she sees fit. These Modules are intended to release proprietary information created by That's Brickell for personal benefit of Client. Client agrees and understands that he/she is not to share, copy, distribute, or otherwise use (other than that which is expressly allowed) the information provided to her as a result of her participation in the Program. Bonus Modules: That's Brickell will also provide additional “bonus” modules on topics the Company feels is relevant and/or useful for The Models University clients (“Bonus Modules”). While That's Brickell does not anticipate or expect Bonus Modules to change, it may add, remove, or update such modules as appropriate, within its sole and exclusive discretion. Bonus Modules are to be considered “extra” value over and above what is being purchased, and Client understands he/she does not have a cause of action or claim for refund if Bonus Modules are updated or changed at any point in the future. Group Coaching Calls: The Models University will include access to group coaching calls via Zoom, where Clients may log in and access Model Coach Brickell live. Optional Q&A calls are also weekly via Zoom with a member of the That's Brickell team, to get any questions answered and gain extra value. This feature is subject to change at any time, in the sole and exclusive discretion of That's Brickell. Client understands that he/she does not have a cause of action or valid request for refund if such calls end during Client’s participation in the Program or before he/she joins the Program. Email Support: Client may also be granted access to email support facilitated by That's Brickell as a BONUS to joining the Program. If applicable to Client and Client receives access, Client may submit modeling and industry related questions to designated email address, where Client can expect a response within 24-48 hours or sooner (with the exception of the weekend and holidays). This feature is subject to end at any time, in the sole and exclusive discretion of That's Brickell. Client understands that he/she does not have a cause of action or valid request for refund if such calls end during Client’s participation in the Program or before he/she joins the Program. Personal Video Critiques: This feature will be used on a case by case basis when needed if the question cannot be resolved via Zoom. This feature is subject to end at any time, in the sole and exclusive discretion of That's Brickell. Client understands that he/she does not have a cause of action or valid request for refund if such calls end during Client’s participation in the Program or before he/she joins the Program.

PROGRAM OUTLINE ADDENDUM – The Runway Bundle Client understands, acknowledges, and agrees he/she is purchasing access to The Runway Bundle by That's Brickell. Once the Program is purchased and all Agreements are agreed to, Client will have access to all modules in the program. After which, Client is to have continued access for one year, and may review or complete at his/her own pace. As outlined on the sales page, the Program includes the following 3 core modules: Part 1 – The Basics: Within this section everything from how you should be thinking on the runway to the details of what to expect in a runway show is covered. Part 2 – The Skills: This section breaks down step by step on the types of walks to poses and transitions that elevate your skills and command attention on the runway. Part 3 – The Strategy: Here is where we put it all together and review the do’s and don’ts of your runway experience

Client has carefully read this Program Outline Addendum and acknowledges that he/she is aware of what is, and what is not included within this Program. Client is aware that this Program Outline includes EVERYTHING included within the Program, with the exception of exclusive or limited time, time-sensitive bonuses. If Client expects additional information, products, services, or other information to be provided in this Program but does not see it here, Client understands it may not be included, or may be a limited time bonus. The That's Brickell is under no obligation to provide anything other than what is listed above, with the exception of updated or ever-changing Bonuses offered for limited periods of time. By completing the online purchase and being charged the amount listed above, Client confirms he or she has reviewed this Program Outline, completed any and all appropriate additional research, and asked any and all necessary questions of That's Brickell and his/her team in order to feel appropriately educated of the Program and product/service being offered. Client understands he or she will not be entitled to a refund once completing this purchase for any reason.
